End-User Licence Agreement · version 2026-09-02

End-User Licence Agreement

This licence covers the Synapie (formerly Penaptic) software — the apps you install on your Mac, PC, phone or tablet. It is an agreement between you and Stephen Kobata, an individual trading as Synapie (“we”, “us”). By installing, copying or using the software, you accept it. If you do not accept it, do not install the software, and delete any copy you have.

This is not the whole agreement. The Terms of Service cover the parts of Synapie we run for you — your account, the sync relay, assistant credits and billing — and they apply alongside this licence. Where the two disagree, the Terms of Service win. What we do with information is described in the Privacy Policy.

1. What this covers

“The software” means the Synapie applications for macOS, Windows, Linux, iOS and Android, in object-code form, including the on-device assistant model shipped with them, any bundled data files, and any update or replacement we supply. It does not cover the servers we run at synapie.com and api.penaptic.com — those are “the service”, and the Terms of Service govern them.

The software runs, and is useful, without the service: it stores your data locally, and the on-device model answers without sending anything anywhere. Signing in is what adds sync, sharing and the server-hosted models.

2. The licence we grant you

We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

Where you obtain the software from an app store, the number of devices and the accounts covered are also subject to that store's rules, which apply in addition to this section.

The licence to the software carries no charge. A paid Synapie subscription buys service entitlements — assistant credit, sync storage, sharing limits — not the software itself, and cancelling a subscription does not end this licence.

3. What the licence does not include

Except where applicable law gives you a right that cannot be excluded by contract — and in the EU, UK and elsewhere it may, particularly for interoperability — you may not:

4. Ownership

The software is licensed, not sold. We and our licensors keep all right, title and interest in it, including all intellectual property. You get the rights set out in section 2 and nothing more; no rights are granted by implication or estoppel.

What you create with it stays yours. We claim no ownership of your notes, todos, lists, events, files or anything else you write or generate in Synapie — and, as the next section explains, for most of it we could not read it even if we wanted to.

5. Your data and your keys

Your content lives on your device. When you sync, it is encrypted on the device before it is sent, with a key generated on the device that we never receive in a readable form.

This means we cannot recover your data and cannot reset access to it. If you lose every device holding your key, or forget the passphrase on an encrypted workspace, that data cannot be opened — by you or by us. There is no back door to add. Keeping backups is your responsibility; the software can export your data as plain readable files, and pairing a second device puts your key somewhere else. Terms of Service section 5 sets this out in full, and section 10 there limits our liability for data loss.

6. The assistant and models

The software includes an assistant. Its output can be wrong, incomplete, biased or entirely fabricated, including when it sounds certain. It is not legal, medical, financial, tax, safety or other professional advice. Check anything that matters before you act on it.

The assistant can create, change and delete your data, and can run tools and reach services you authorise. You are responsible for the instructions you give it and for reviewing what it does.

The on-device model runs locally and sends nothing anywhere. If you choose a server-hosted model, the content of that request leaves your device to be answered — see Terms of Service section 6 and the Privacy Policy.

7. Updates

The desktop app checks for updates and can install them automatically; mobile apps update through their store. Updates are covered by this licence, and may add, change or remove features. Where an update is needed to keep the software working with the service, or to fix a security problem, we may require it — an older version may stop being able to connect.

You can turn automatic updates off in the app's settings, and on mobile in your store settings. We do not promise to support older versions.

8. Third-party and open-source components

The software includes third-party components, some of them open source, each under its own licence. Those licences govern those components, and where one of them grants you rights that this agreement restricts, that licence wins for that component. Ask us at [email protected] for the notices and we will send you the current list.

The software can also connect to services other people run — a calendar provider, a model provider, a plugin's API. We do not control those services, are not responsible for them, and their own terms and privacy policies apply to your use of them.

9. No warranty

The software is provided “as is” and “as available”, with all faults and without warranty of any kind. To the fullest extent the law allows, we disclaim all warranties, express or implied, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, and any warranty arising from a course of dealing or usage of trade.

We do not warrant that the software will meet your requirements, be uninterrupted, secure or error-free, that defects will be corrected, that it will be free from data loss, or that the assistant's output will be accurate or suitable for anything.

Some jurisdictions do not allow the exclusion of implied warranties or of statutory consumer guarantees, so parts of this section may not apply to you. Where you are a consumer, nothing here affects rights you have under the law where you live.

10. Limitation of liability

To the fullest extent the law allows:

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Where a limit is unenforceable it is reduced to the minimum the law requires rather than removed. These limits are a fundamental part of the basis on which the software is offered at its price.

The software is not designed for use where failure could lead to death, personal injury, or severe physical or environmental damage, and must not be used in such settings.

11. Term and termination

This licence starts when you first install or use the software and runs until it ends.

You may end it at any time by deleting the software from your devices. It ends automatically if you breach section 3, and we may end it if you materially breach this agreement or the Terms of Service. When it ends you must stop using the software and delete every copy.

Sections 4, 5, 9, 10, 13, 14 and 15 survive termination. Ending this licence does not by itself close your account or cancel a subscription — those are handled on your account page.

12. App Store terms

These terms apply to a copy of the software you obtained from the Apple App Store, and they are there because Apple requires them:

Where you obtained the software from another store — Google Play, or a download from our own site — that store's terms apply in addition to this agreement, and the store is likewise not a party to it.

13. Export, sanctions and government use

The software may be subject to export control and sanctions law. You may not use or export it in breach of those laws, and you confirm you are not located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions, and are not a party any applicable government has designated as prohibited or restricted.

If you are a U.S. Government end user, the software is “commercial computer software” and “commercial computer software documentation” as those terms are used in 48 C.F.R. §12.212 and 48 C.F.R. §227.7202, and is licensed with only the rights granted here.

14. Governing law

This agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in California have exclusive jurisdiction. If you are a consumer, this does not deprive you of the protection of the mandatory law of the country where you live, or of your right to bring proceedings there.

15. General, and contact

This agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between us about the software. If a provision is held unenforceable, the rest stays in force; our not enforcing a provision is not a waiver of it. You may not assign this agreement; we may assign it to a successor in a merger, acquisition or sale of assets. We may change this agreement for future versions of the software, and will publish the revised version here with a new version number.
